TERMS OF SERVICE

1. Acceptance of Terms

By accessing and using OutreachBox ("the Service"), an AI-powered marketing automation and email outreach platform, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

OutreachBox provides a comprehensive marketing automation platform that includes:

• Email campaign management and automation
• AI-powered content generation and personalization
• Prospect research and lead discovery
• Web crawling and content analysis
• Contact management and segmentation
• Email verification and deliverability tools
• Workflow automation and AI agents
• Analytics and reporting
• Team collaboration and project management
• API access and integrations

3. Use License

Permission is granted to temporarily use OutreachBox for personal or commercial marketing purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify, copy, or reproduce the software or documentation
• Use the materials for any unauthorized commercial purpose
• Attempt to decompile, reverse engineer, or disassemble any software
• Remove any copyright or other proprietary notations from materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Use automated systems to access the Service in a manner that sends more request messages to OutreachBox servers than a human can reasonably produce in the same period

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation, including without limitation any laws regarding email marketing (e.g., CAN-SPAM Act, GDPR, CASL)
• To send spam, unsolicited commercial emails, or unsolicited bulk messages
• To send emails to recipients who have not opted in to receive communications from you
• To harvest or collect email addresses or other contact information from the Service
• To impersonate or attempt to impersonate OutreachBox, an OutreachBox employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service
• To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• To violate, or encourage the violation of, the legal rights of others

5. Email Marketing Compliance

You are solely responsible for ensuring that your use of the Service complies with all applicable email marketing laws and regulations, including but not limited to:

• CAN-SPAM Act (United States): You must include opt-out mechanisms, accurate sender information, and truthful subject lines
• GDPR (European Union): You must obtain proper consent, provide clear privacy notices, and honor data subject rights
• CASL (Canada): You must obtain express or implied consent before sending commercial emails
• Other applicable laws: Compliance with any other local, state, national, or international laws governing email marketing

OutreachBox provides tools to help with compliance (such as unsubscribe links), but you are responsible for ensuring full legal compliance in your jurisdiction.

6. Account Security

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. You agree to:

• Use a strong password and keep it secure
• Notify OutreachBox immediately of any unauthorized use of your account
• Not share your account credentials with third parties
• Ensure that all team members with access to your account are authorized by you
• Maintain the security of any API keys provided by OutreachBox

7. Subscription and Payment Terms

By subscribing to OutreachBox, you agree to pay the fees associated with your selected plan. All fees are billed in advance on a monthly or annual basis, as selected. Refunds are provided in accordance with our refund policy, which includes:

• Monthly subscriptions may be cancelled at any time with access through the end of the billing period
• Annual subscriptions cancelled within the first 30 days may be eligible for a prorated refund
• No refunds for usage-based charges (e.g., AI agent calls, web crawling) that have already been consumed
• All prices are in USD unless otherwise specified
• We reserve the right to change pricing with 30 days notice to existing customers

Usage limits are enforced based on your subscription tier. Exceeding limits may result in service restrictions or additional charges as specified in your plan.

8. Data Ownership and Usage

You retain all ownership rights to your data, including contacts, campaigns, templates, and content. By using the Service, you grant OutreachBox:

• A limited license to use your data solely to provide the Service
• Permission to process and store your data in accordance with our Privacy Policy
• Authorization to use anonymized, aggregated data for service improvement and analytics

You may export your data at any time through the Service interface or API. Upon account termination, we will provide you with a reasonable opportunity to export your data.

9. AI and Content Generation

OutreachBox uses artificial intelligence to generate content, conduct research, and automate marketing tasks. You acknowledge that:

• AI-generated content may require review and editing before use
• You are responsible for ensuring AI-generated content complies with applicable laws and your own content policies
• AI agents may access publicly available information during research activities
• OutreachBox does not guarantee the accuracy or completeness of AI-generated content
• You retain ownership of content generated using the Service, subject to the underlying AI model's terms of service

10. Prohibited Content and Activities

You agree not to use the Service to send or process content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, or obscene
• Violates any third party's intellectual property rights
• Contains malware, viruses, or other malicious code
• Promotes illegal activities, violence, or discrimination
• Contains false or misleading information
• Violates any person's privacy rights

11. Web Crawling and Data Collection

The Service includes web crawling capabilities for prospect research and content analysis. You agree to:

• Use web crawling features only for lawful purposes
• Respect website terms of service and robots.txt files
• Not use crawling features to access or collect data from password-protected or unauthorized areas
• Comply with website rate limits and respect crawl delays
• Not use crawled data for purposes that violate third-party rights

12. Third-Party Integrations

OutreachBox may integrate with third-party services. Your use of such integrations is subject to the terms and conditions of those third-party services. OutreachBox is not responsible for:

• The availability, functionality, or security of third-party services
• Any data loss or issues arising from third-party integrations
• The accuracy or legality of data obtained from third-party services

13. Service Availability and Modifications

OutreachBox strives to maintain service availability but does not guarantee uninterrupted access. We reserve the right to:

• Modify or discontinue features with reasonable notice
• Perform scheduled maintenance that may temporarily affect service availability
• Suspend or terminate accounts that violate these Terms
• Update, change, or remove features at any time

14. Limitation of Liability

To the fullest extent permitted by law, OutreachBox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the Service
• Damages resulting from errors, omissions, or interruptions in the Service
• Any damages related to email deliverability issues
• Costs of procurement of substitute services

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to OutreachBox in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless OutreachBox and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content or data you submit, post, or transmit through the Service
• Your failure to comply with applicable email marketing laws and regulations

16. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your right to access and use the Service will immediately cease
• OutreachBox may delete your account and data after a reasonable retention period
• You remain responsible for any fees incurred before termination
• Provisions that by their nature should survive termination will remain in effect

17. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OutreachBox operates, without regard to its conflict of law provisions.
